RAINING DATA CORPORATION ANNOUNCES
FISCAL 2006 FIRST QUARTER RESULTS

IRVINE, CA. - August 11, 2005

Raining Data Corporation (Nasdaq: RDTA) today announced financial results for the first quarter of fiscal year 2006. Net revenues for the quarter ended June 30, 2005 were $5.3 million as compared to $5.2 million for the same period in the prior year. The Company achieved an operating profit of $0.1 million for the first quarter as compared to an operating loss of $0.1 million for the first quarter in the prior year. Loss per share for the quarter improved to $0.01 for the three months ended June 30, 2005 as compared to a loss per share of $0.02 in the same period in the prior year.

The Company increased its investment in R&D during the quarter by $0.5 million as compared to the same period in the prior year, which coincides with the General Availability Release version 2.1 of its TigerLogic XML Data Management Server in May 2005.

Cash balances were $10.3 million at June 30, 2005, up $2.0 million as compared to June 30, 2004. Working capital improved to $4.8 million as compared to $3.0 million and $4.7 million at June 30, 2004 and March 31, 2005, respectively.

Earnings before interest, taxes, depreciation, and amortization (“EBITDA”) for the three months ended June 30, 2005 was $0.2 million or 4% of revenue as compared to $0.7 million or 13% of revenue for the same period in the prior year as a result of the increased R&D expenditures. The Company computes EBITDA, as reflected in the table appearing at the end of this press release, by adding depreciation, amortization, non-cash stock-based compensation expense, interest expense, other (income) expense and income taxes to its GAAP reported net income (loss).
